The parties formed a partnership for the purpose of running
a hotel business. They agreed to take equal shares in the business which was to
be carried on in a house which was said to be jointly built by sharing costs
equally. Since the plot belonged to one of them they agreed that the title of
the plot was to be rectified to reflect joint ownership. The parties were
content with a statutory declaration that the plot was jointly owned. After
some disputes one of the partners dismissed the other partner leading to
dissolution of the partnership. The property of the dismissed/retiring partner
continued to be used in the business. The Court of Appeal considered, inter
alia, whether the statutory declaration could constitute a conveyance of
title, the effect of dismissal of one of the partners on the partnership and
whether estoppel can override a statutory requirement
